THE PROPOSED OPERATION AND MAINTENANCE OF TERMINAL BERSEPADU SELATAN (TBS) THROUGH PUBLIC PRIVATE PARTNERSHIP USING REGENERATE-OPERATE-TRANSFER (ROT) MODEL DEFINITION Asset All assets to enable the Bidder to provide Facility Management and Maintenance (FMM) Services in accordance with the technical specification specified in this document, including but not limited to: 1. The Terminal; 2. The Terminal Land; 3. any land or buildings or facilities and infrastructure; 4. plant and machineries; 5. equipment and system (together with any warranties in respect of assets being transferred); 6. drawings and technical data; 7. intellectual property rights as attached to assets; 8. any books, reports and records which including all operating and maintenance manuals; and 9. any spare parts, tool and other assets (together with any warranties in respect of assets being transferred). Asset Replacement Programme (ARP) Replacement of major asset/equipment due to obsolescence / Beyond Economical Repair (BER). The Successful Bidder shall propose, develop, execute, implement and maintain the assets of the service. All the cost related to ARP shall be borne by Successful Bidder. Bus Holding Area (BHA) A facility within The Terminal where all the bus parking temporarily and the area that consists of structure like Sewerage Treatment Plant (STP), Driver Rest Area, Canteen, Bus Wash and Fuel Station. Complaint Any written or verbal notice or report by the Customers / Users / Government / Government’s representative or Non-Compliance Reports (NCR) from Government audit activity given through telephone / fax / electronic media (or any other means agreed by the Government) about not meeting the agreed standard of service provided by the Bidder as per scope and technical specification (after verified by the Bidder) in this document or similar. i
THE PROPOSED OPERATION AND MAINTENANCE OF TERMINAL BERSEPADU SELATAN (TBS) THROUGH PUBLIC PRIVATE PARTNERSHIP USING REGENERATE-OPERATE-TRANSFER (ROT) MODEL Concession Period/ Concession A mutually agreed concession period granted by the Government to the successful Bidder to manage, operate and maintain the Sites up to Twenty (20) years. Used interchangeably with “Concession”. Construction Period The period of first three (3) years of concession period for the Bidder to carry out asset replacement, repair and upgrading works. Corrective Maintenance Work / repair / servicing / testing carried out after failure / breakdown has occurred and is intended to restore an item to a state in which it can perform to its required function as per designed. Custodial Service General cleaning / housekeeping, pest and domestic animal control and hygiene services. Execution Time Time measured from the Complaint first logged on the Company’s Help Desk until Work Order is closed. Facility Collection of Assets which is built, installed or established in the Sites. Facility Management and Maintenance (FMM) Managing, administrating, supervising all aspect of asset including but not limited to facility management services, facility engineering operation and maintenance services, custodial services and technical advice and expert proposal services within the Sites. Facility Risk Management A structured approach to managing effect of uncertainty related to threat, a sequence of human activities including risk assessment, strategies development to manage it, and mitigation of risk using managerial resources. Incident Report A document that records details of an unusual and significant event(s) that occurs at the Asset. Main Terminal Building (MTB) The terminal main operation building that consists of 6 storey level. ii
THE PROPOSED OPERATION AND MAINTENANCE OF TERMINAL BERSEPADU SELATAN (TBS) THROUGH PUBLIC PRIVATE PARTNERSHIP USING REGENERATE-OPERATE-TRANSFER (ROT) MODEL Planned Preventive Maintenance (PPM) A planned and scheduled work to carry out the preventive maintenance. The Planned Preventive Maintenance also includes Routine Inspection and Predictive Maintenance / Condition Based Maintenance. Preventive Maintenance A work / repair / servicing and testing carried out at predetermined intervals period to prescribed criteria, intended to reduce failure, environmental damage or the performance degradation of an item to prolong the life expectancy of the equipment. Quality Management System A collection of processes focussed on consistently meeting user / customer requirement and enhancing their satisfaction compliant with the latest MS ISO 9001. It is expressed as the organisational structure, policy, procedures, processes and resources needed to implement Quality Management. Response Time Time measured from the date and time a Request / Complaint is logged (Work Request open) until verification of the Complaint (Work Order open). Scheduled Corrective Maintenance (SCM) A subset of planned maintenance activity(ies). It involves correcting deficiency(ies) identified and detected during PPM or Routine Inspection (RI). Some of these deficiencies are repaired at the same time, whereas others are scheduled for other times because additional spare parts must be procured. Sites The Terminal and The Terminal Land area. The Terminal Terminal Bersepadu Selatan, Bandar Tasik Selatan, Kuala Lumpur located on a plot of land Lot No. PT 14421 (HSD 117763), Mukim Petaling, Wilayah Persekutuan Kuala Lumpur. Transition-in A mutually agreed period from the award of this RFP to the successful Bidder to transition in carrying out activities to operate and maintain the asset. iii

Transition-out A mutually agreed period before the expiry of the existing concession for the successful bidder to carry out activities involving shedding / minimizing the resources to operate and maintain an asset, clearing all work order issued and making good all defects prior to the end of the concession, training and handing over to the successor successful Bidder. THE PROPOSED OPERATION AND MAINTENANCE OF TERMINAL BERSEPADU SELATAN (TBS) THROUGH PUBLIC PRIVATE PARTNERSHIP USING REGENERATE-OPERATE-TRANSFER (ROT) MODEL PART I: GENERAL 1.0 PROJECT BACKGROUND 1.1 Terminal Bersepadu Selatan (The Terminal) is built on a land area of 176,549 square meters in Bandar Tasik Selatan, Kuala Lumpur. The construction of The Terminal started on 20th November 2007 and three (3) years to complete which was on 19th November 2010. 1.2 The Gross Floor Area (GFA) of terminal is 96,934.2 square meters excluding Surau (Level 1), Bus Wash and Fuel Station consists of: (a) (b) MTB - 96,345 square meters; and BHA - 589.2 square meters 1.3 The Terminal has 70 ticket counters and 12 self-service ticket machines owned by the Government and 49 additional ticket counters owned by current terminal operator that offer Centralized Ticketing System (CTS) to ensure ticket sales for all express bus operators to all destinations are integrated in one system. The Terminal also offers bus ticket purchase through the e-ticket portal. 1.4 The Terminal has the capacity to handle a total of 1,400 bus trips with 55,000 users per day. The highest record during peak and festive season was in 2018 which was 13,244,181 users. Please refer to Appendix A. 1.5 The Terminal Assets and Sites must be managed and maintained in accordance with supreme functionality, domestic safety, and security for the building and its users at all times. 1.6 Related Government asset guidelines and Government asset management policies such as the Dasar Pengurusan Aset Kerajaan (DPAK), Manual Pengurusan Aset Menyeluruh (MPAM), Tatacara Pengurusan Aset Tak Alih (TPATA), and other relevant guidelines/policies can be adopted by the Bidder in the management of operation and maintenance of The Terminal. 1.7 The management of operation and maintenance of The Terminal must be based on performance and focusing on: (a) sustaining asset value: (i) optimizing asset usage; 1
THE PROPOSED OPERATION AND MAINTENANCE OF TERMINAL BERSEPADU SELATAN (TBS) THROUGH PUBLIC PRIVATE PARTNERSHIP USING REGENERATE-OPERATE-TRANSFER (ROT) MODEL (ii) (iii) (b) optimizing operational and maintenance costs; supporting organisation service delivery; and delighting user/customer’s experience. 1.8 The Bidder will be held responsible in all defined Facility Management and Maintenance (FMM) Services, which the Bidder shall give full commitment, ownership, proactive manner and accountability to ensure the quality of service of the said facility. 2.0 SITE INFORMATION All relevant documents, drawings, asset and spares inventories, operation and maintenance manuals, and testing and commissioning records shall be made available to the Successful Bidder for their use, which shall remain the property of the Government and shall be surrendered to the Government at the expiry or termination of the concession. 2.1 Construction Components of The Terminal The following are construction components at The Terminal. Please refer to the as-built drawing and the Certification of Completion and Compliance (CCC) document attached in the Appendix B: (a) Main Terminal Building (MTB) - 6 Floors; (b) Bus Holding Area (BHA) & Driver Rest Area Building; (c) Pedestrian Link Bridge from MTB to Rapid KL Station, KTM & ERL; (d) Pedestrian Link Bridge from BHA to Kampung Malaysia; and (e) Sewerage Treatment Plant (STP) and other supporting facilities. 2
THE PROPOSED OPERATION AND MAINTENANCE OF TERMINAL BERSEPADU SELATAN (TBS) THROUGH PUBLIC PRIVATE PARTNERSHIP USING REGENERATE-OPERATE-TRANSFER (ROT) MODEL 2.2 Asset Inventories (a) (b) 3.0 The Bidder shall manage, maintain and update asset inventories and related data including spare parts inventories and utilise all Government issued spare parts (if any). The Bidder shall provide access to any of the asset inventories records that relate to the services at any time required by the Government. RULES, REGULATIONS AND STANDARDS 3.1 All work performed during the concession including personnel materials and equipment shall comply with the requirements, rules and regulations of but not limited to the following: (a) Agensi Pengangkutan Awam Darat (APAD); (b) Chief Government Security Officer (CGSO); (c) Dewan Bandaraya Kuala Lumpur (DBKL); (d) Jabatan Alam Sekitar (JAS); (e) Jabatan Bomba dan Penyelamat Malaysia (JBPM); (f) Jabatan Perlindungan (PERHILITAN); (g) Jabatan Keselamatan dan Kesihatan Pekerjaan (JKKP); (h) Jabatan Kerja Raya (JKR); (i) Jabatan Landskap Negara (JLN); (j) Jabatan Pengairan dan Saliran Malaysia (JPS); (k) Lembaga Racun Makhluk Perosak (LRMP); (l) Polis Diraja Malaysia (PDRM); Hidupan Liar dan Taman Negara (m) Pusat Racun Negara (PRN); (n) Scientific and Industrial Research Institute of Malaysia (SIRIM); 3
